Description

The Legal Department of Applied Industrial Technologies (NYSE: AIT), an industrial distributor with a $10 billion market cap, seeks an experienced commercial attorney to join its expanding team in this newly created role.  This position will be the primary legal team member for Applied's fluid power businesses, and is located at Applied's corporate headquarters in Cleveland, Ohio.

Essential Duties and Job Functions

  • Independently draft and negotiate a wide range of agreements to meet business and legal requirements, including sales agreements, supply agreements, distribution agreements, consulting agreements, and various vendor services agreements.
  • Provide direct support to individuals at all levels of the fluid power organization to provide creative, practical, business-oriented advice and solutions on contract interpretation, dispute resolution, liability risks, regulatory compliance, and other legal matters.
  • Partner with fluid power leadership team to support growth opportunities and strategic initiatives, ensuring legal alignment with business strategies, and provide advice and guidance on a variety of legal matters.
  • Play a key role in the development and continuous improvement of policies, procedures, and contract playbooks.
  • Coordinate with other members of the Legal Department on legal matters for the fluid power businesses, such as litigation, real estate, employment, and acquisitions.
  • Develop and deliver training of sales and other personnel on commercial law and various other policies and procedures.
  • Effectively manage and oversee utilization of outside law firms to provide timely, cost-effective legal services.
  • Collaborate with finance, human resources, risk, insurance, IT and other departments in the corporate office to analyze business, regulatory and legal matters, with a view to responsibly and efficiently driving growth and profitability while managing legal and regulatory risks.
  • Work with Applied's business development team to conduct due diligence and post-acquisition integration efforts in strategic transactions as needed.

Qualifications

  • Juris Doctorate from a nationally recognized law school.
  • Admitted to practice (preferably in Ohio).
  • At least 7 years in a law firm and/or in-house, with in-house experience preferred.
  • Experience drafting and negotiating domestic and international commercial agreements.
  • Ability to take accountability, appropriately calibrate risk and enable clear decision-making with confidence and professional maturity.
  • Ability to work flexibly and collaboratively, develop and maintain positive relationships, and lead a diverse workload.
  • Excellent interpersonal and communication skills to interface effectively with clients, peers, outside counsel and opposing parties and the ability to communicate legal topics to non-lawyers.
  • Experience in regulatory compliance matters common with commercial transactions preferred.
