Mastercard is a technology company in the global payments business, connecting cardholders, customers, financial institutions, merchants, governments and businesses worldwide.
In December 2024, Mastercard acquired Recorded Future, Inc. a threat intelligence company in Boston, MA and Gottenburg, Sweden.
Mastercard is searching for an experienced technology and transactional lawyer to provide commercial legal support and counsel to the MA Integration Team, Recorded Future and Mastercard Services (Security Solutions) business units.
Role
This full-time role will support the product legal commercialization of various new and emerging technologies, relating to threat intelligence product development and synergies within Mastercard. Further, this role will also support the transaction product commercialization mitigations required with a transaction from a privately held to public traded corporation. This role will report into the legal team's Vice President for the Recorded Future Integration and Cybersecurity Solutions; you will take a major role in providing product support, and commercial and government contracting support for the business, bridging Recorded Future products and synergies .
In addition to prioritizing Recorded Future work, this role will also provide regional legal support for all cross-vertical SSO products as needed, including coordination with other regional and global product lawyers, regulatory and anti-trust counsel, and supporting smooth handovers and transitions between product legal owners. Over time, the role is expected to evolve to cover broader cross-vertical responsibilities within SSO in region.
You will:
• Work with business in bringing to market synergy products, new Recorded Future products and/or scaling various products.
• Provide support to the Security Solutions global, regional and sales teams to support product sales initiatives.
•Provide legal support for cross-vertical SSO products in region, including coordination with regional product lawyers, regulatory and anti-trust counsel, and involvement in OneTrust work, pricing initiatives, mandates, and related projects.
• Provide legal advice to all integration legal team stakeholders to continue to make the various products easier to do business with, reduce purchase decision frictions and reduce sales cycles on a wide range of commercial, contractual and product regulatory matters.
• Provide legal advice and leadership to all integration stakeholders to manage the development, timelines, degree and priority of mitigations in a manner to optimize the transaction's risk/reward profile.
• Create, draft and negotiate technology agreements, including vendor, license, partnership and reseller agreements.
• Manage contractual negotiations with financial institutions, service providers, merchants and vendors.
• Work with internal and external regulatory counsel relating to the impact of local laws, government regulations and directives on Recorded Future/Services solutions.
• Act as product counsel and become an integral part of the business/product development team on a variety of Recorded Future/Cybersecurity and other SSO solutions and services advising clients through creation, development and launch stages of solutions. Further, this role will also serve to operationalize at scale the current Recorded Future product development journey.
• Draft pilot agreements, review product concepts, and provide input for Product Counsel and Studio processes where legal expertise is required, for both Recorded Future and other SSO products.
• Identify and advise on intellectual property, cyber and data privacy product risks, with active support from Mastercard's intellectual property, information security and data privacy counsel.
• Provide legal and business risk assessment and analysis on matters from new product constructs to commercial agreements.
• Take responsibility for special projects while continuing to handle a steady stream of day-to-day matters.
• Ensure compliance with company policies and procedures.
• Manage external counsel within agreed policy and budget.
• Develop strong relationships with product development, business, sales, and senior management within the company.
• Provide applicable training to the LFI, sales and product teams.

• Qualified lawyer with a solid academic and training background.
• Strong Leadership Skills, communication skills, values driven and an ability to model courage and set boundaries.
• Extensive legal experience, preferably including in-house experience.
• Experience in technology, security and/or payments agreements is a distinct advantage.
• Strong business acumen, high Mastercard IQ and a keen interest in technology.
• Strong drafting and negotiating skills across a range of complex commercial contracts and the ability to analyze and identify core legal issues.
• Fast learner who can gain rapid familiarity with complex and evolving products and solutions.
• Exposure to a broad range of transactional, commercial and technology law issues.
• Strong working knowledge of data privacy and intellectual property issues.
• Team player and great attitude and sense of humor.
• Self-starter and ability to work independently is critical.
• Experience working on global agreements, across multiple jurisdictions and time zones.
• Solutions-orientated and able to work flexibly, under pressure, and with tight deadlines.
