Position Summary:

Penske Transportation Solutions is seeking an experienced, business-focused Senior Corporate Counsel to join its in-house Legal team. This individual will provide strategic legal advice and transactional support across a broad spectrum of commercial, regulatory, and operational matters. Our legal team partners closely with operations and executive leadership teams to help navigate the evolving landscape of transportation and logistics. This role offers an opportunity to be part of a stable, growing company with a strong culture of integrity, innovation, and excellence.

This position will report to the Vice President and Assistant General Counsel and will be based in Green Hills/Reading, PA. The Senior Corporate Counsel will be expected to be in-person in the office at least 3-4 days per week. In this role, you will supervise paralegals, junior attorneys, and outside counsel. The position may require up to 10% for business meetings and industry / professional events.

Responsibilities:

• Provide legal counsel on a wide variety of complex and strategic issues commercial contracts, including lease agreements, vendor/supplier agreements, customer service contracts, securities, anti-trust, tax, and technology and SaaS agreements.

• Advise business units on regulatory compliance matters, particularly in transportation, commercial transactions, real estate, environmental, and privacy/data security laws.

• Support and/or lead M&A activities, alliances, joint ventures, and other strategic relationships and initiatives, including due diligence, document drafting, negotiating and integration matters.

• Monitor legal trends, public policy, and emerging issues that may impact the business, providing timely insights and recommendations to senior management.

• Manage outside counsel relationships and associated budgets for transactions and specialized legal support.

• Lead or participate in internal training sessions on legal and compliance topics to promote awareness and risk avoidance.

• Other projects and tasks as assigned by supervisor

Qualifications:

• J.D. degree from an accredited law school; must be admitted and in good standing with at least one U.S. state bar.

• At least 4-6 years of relevant legal experience in a law firm and/or in-house legal department.

• Experience supporting a regulated industry such as transportation, logistics, automotive, leasing, or manufacturing.

• Demonstrated ability to draft and negotiate complex commercial contracts with attention to both legal and business implications.

• Strong knowledge of applicable federal, state, and local regulations (e.g., DOT, FMCSA, EPA, employment law, privacy regulations).

• Excellent interpersonal and communication skills with the ability to advise and influence all levels of the organization.

• Practical, business-minded approach to problem-solving and risk assessment.

• Regular, predictable, full attendance is an essential function of the job

• Willingness to travel as necessary, work the required schedule, work at the specific location required, complete Penske employment application, submit to a background investigation (to include past employment, education, and criminal history) and drug screening are required.
